The senior management of P&A Metal Fab, Inc. is pleased to announce the purchase of all outstanding shares of the company from its parent Kyoshin Giken Co. Ltd. of Tokyo Japan.
The buyout group is led by Mr. Tsuguaki Takahashi and Mr. Dan Aronson, the company’s Chairman and President respectively. The company is taking a “business as usual” approach and does not intend to make any operational changes at this time. Mr. Takahashi and Mr. Aronson are both firmly committed to investment in the Oregon manufacturing sector and sustaining jobs in the local economy, and believe that local ownership will benefit its employees and customer base. The deal was negotiated for the buyers by Portland attorney Scott Caplan of the law firm Jordan/Caplan.

We, P&A Metal Fab. Inc., are a medium-sized but very flexible manufacturing company that can operate and react to our customer’s requirements much more quickly than a larger operation. However, we have the long-term stability and technological strength of a much larger concern. This gives us a decided advantage over our competitors. In order to pursue our business goals, the Board of Directors of P&A Metal Fab. Inc. has rearranged certain management responsibilities effective January 1, 2006 as follows:
Chairman of the Board - Tsuguaki Takahashi (previously President)
President - Daniel G Aronson (previously VP of Operations)
T. Takahashi has been managing P&A’s business since 1991 with the strong support of Dan Aronson and our employees. However, we are looking to the future and want to be sure that P&A is strategically positioned to remain a strong and stable company, able to stay ahead of the rapidly changing market.
Daniel G. Aronson is committed to meeting the long-term business goals of P&A Metal Fab. Inc. He has more than 25 years of all-round fabrication business experience starting with his work as one of our finest shop employees. Thus, he understands everything about the fabrication business through his experience, from production to sales as well as managing a manufacturing operation.
I believe that Dan can build up a good relationship with you for our mutual business benefit. In my capacity as Chairman of the Board, I will continue with my work at P&A. We would like you to understand these changes and hope we can help each other in pursuing our respective business goals.
